1. Acceptance of Terms
By downloading, installing, or using the Vouch mobile application (the "App") or accessing our website at vouchapp.ca (the "Website"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App or Website.
These Terms constitute a legal agreement between you and Vouch App Ltd ("Vouch", "we", "us", or "our"), a company registered in Ontario, Canada.
2. Eligibility
You must be at least 16 years of age to use Vouch. By using the App, you represent and warrant that you meet this age requirement. If we learn that a user is under 16, we will promptly terminate their account and delete their data.
3. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorized use of your account.
- One account per person. Creating multiple accounts to circumvent limits is prohibited.
4. How Vouch Works
Vouch is a peer-to-peer recommendation platform. Users earn points by sharing and receiving authentic brand recommendations in person:
- Voucher: Recommends a brand they genuinely use and love to another person via Bluetooth proximity.
- Listener: Receives the recommendation and acknowledges it.
- Points: Both participants earn points upon successful completion of a Vouch session.
- Brands: Must be approved on the platform before points become fully available.
5. Points and Wallet
5.1 Earning Points
- Points are earned by participating in valid Vouch sessions.
- Points for new (pending) brands are held in a "pending" state until the brand is approved.
- If a brand is rejected, pending points associated with that brand are cancelled.
- Points have no cash value and cannot be exchanged for currency.
5.2 Rate Limits
To maintain the integrity of the platform, the following limits apply:
- Maximum 10 vouches per hour per user.
- Maximum 10 vouches per brand per user.
- Cooldown period between vouches with the same person.
- One vouch per unique person-brand combination (you cannot vouch the same brand to the same person twice).
5.3 Points Redemption
Points may be redeemable for rewards, offers, or other benefits as made available through the App. Redemption options, values, and availability are determined solely by Vouch and participating brands, and may change at any time without notice.
6. Prohibited Conduct
You agree not to:
- Create fake or fraudulent Vouch sessions.
- Use automated tools, bots, or scripts to interact with the App.
- Attempt to manipulate the points system or circumvent rate limits.
- Impersonate another person or misrepresent your identity.
- Submit brands that are fraudulent, offensive, illegal, or do not represent real businesses.
- Interfere with the App's infrastructure, security, or other users' experience.
- Reverse-engineer, decompile, or disassemble any part of the App.
- Use the App for any illegal purpose or in violation of any applicable laws.
- Harass, threaten, or harm other users during or outside of Vouch sessions.
- Spoof Bluetooth signals or manipulate proximity detection.
7. Brand Submissions
- Users may submit brands for inclusion on the platform.
- Brand submissions are subject to review and approval by Vouch (automated or manual).
- Vouch reserves the right to reject any brand submission for any reason.
- Daily limits apply to brand submissions to prevent abuse.
- Submitting false or misleading brand information may result in account suspension.
8. Intellectual Property
The App, Website, and all associated content (including text, graphics, logos, design, and software) are owned by Vouch App Ltd and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
Brand names, logos, and trademarks displayed within the App belong to their respective owners and are used for identification purposes only.
9. Privacy
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the App, you consent to our data practices as described in the Privacy Policy.
10. Account Termination
10.1 By You
You may delete your account at any time through the App settings or our account deletion page. Upon deletion, all your data (including points, transaction history, and profile information) will be permanently removed.
10.2 By Us
We may suspend or terminate your account at any time if:
- You violate these Terms or engage in prohibited conduct.
- We detect fraudulent or abusive activity on your account.
- Your account has been inactive for an extended period.
- Required by law or to protect the safety of our users.
Upon termination for cause, any accumulated points are forfeited.
11. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The App will be uninterrupted, error-free, or secure.
- Any specific rewards or redemption options will be available.
- Brand information submitted by users is accurate or complete.
- Bluetooth connectivity will work in all environments.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOUCH APP LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL, ARISING OUT OF YOUR USE OF THE APP.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Vouch App Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.
14. Modifications to the Service
We reserve the right to modify, suspend, or discontinue the App (or any part of it) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you through the App or by updating the "Last updated" date. Your continued use of the App after changes take effect constitutes acceptance of the new Terms.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Vouch App Ltd regarding the use of the App and Website.
